Anthropic, the company behind Claude, is preparing to go public. Here's what's official, what's only reported, and how the process works.
What's official
Anthropic announced that it "confidentially submitted a draft registration statement on Form S-1" to the SEC for a proposed IPO. It said:
- This "gives us the option to go public after the SEC completes its review."
- The IPO "will depend on market conditions and other factors."
- "The number of shares to be offered and the price have not yet been set."
That's it. No date, no price, no public filing as of Oct 22, 2026.
What a confidential S-1 is
An S-1 is the big disclosure document a company files to sell shares to the public: business, financials, risks, who owns what.
A draft submission lets SEC staff review it privately. The SEC says it accepts these from all issuers (since 2017) as long as the company commits to file publicly at least 15 days before any roadshow (the marketing tour to investors).
So the sequence is: confidential draft → SEC comments and revisions → public S-1 → roadshow → pricing → trading. Once it's public, the official numbers replace the reported ones.
What's been reported from the draft
These figures come from news reports on a draft prospectus, not from a public filing. They may differ from what Anthropic eventually files.
As reported by The Wall Street Journal on Oct 20, 2026, and by Reuters the same day:
- First-half 2026 revenue: $16.3B, vs $1.1B a year earlier (WSJ).
- First-half net loss: $80.7B, vs $13B a year earlier (Reuters).
- $72B of that loss was an accounting charge from the rising estimated value of bonds that could convert into shares, not cash operating costs (Reuters).
- Nearly $9B spent on compute and infrastructure in the first half, up from $2.3B (Reuters).
- At least $518B committed over a decade to cloud services, computing and infrastructure (Reuters).
- The WSJ said the draft flags risks including a narrow customer base and uncertain access to computing power.
Reuters also reported that Anthropic told prospective investors on Oct 14 that third-quarter revenue rose 45% QoQ to $16.8B, citing people familiar with the matter.
Why the loss number needs context
A loss driven by convertible-bond accounting works differently from a loss driven by spending. When a company's valuation rises, the estimated value of bonds that can turn into shares rises too, and accounting rules can book that as a loss. How it connects
Anthropic's compute bills flow to cloud providers and chipmakers. Amazon's Q2 2026 GAAP earnings included a $53.4B gain mostly from its Anthropic investments, according to FactSet, and Amazon reports again on Oct 29 (see Big Tech earnings week).
